The fact you're here is a great start. We start with a discovery call to get to know each other and for me to understand your business and your goals. I then share the items I need in order to conduct a valuation. Once received I begin the analysis and follow up with any further questions. Once I've shared my findings with you, you're able to take as much, or as little, time as you need in order to make the best decision for yourself. All of which is done prior to any formal listing agreement or fees.
In short, once an asking price has been identified/agreed and you're ready to list, I prepare listing documents for execution. I then create the confidential listings, the confidential business memorandum (CBM), and I begin marketing the business opportunity to our buyer network. Over this period I am typically in contact with 100-200 interested buying parties where I vet their experience, knowledge, financials, and even personality as a fit towards your desired buyer profile. All interested buyers must complete an NDA prior to receiving any identifiable information on the business. Ideally I'm only introducing you to a few of the top buyer candidates. We review any offers, once accepted we begin due diligence, negotiate a purchase agreement and all matters relating to the sale, transfer, and close. Throughout the entire process I am managing all parties such as a lender, attorneys, escrow, CPAs, and any other third parties involved.
Absolutely. There are a few testimonials on this page below, you can see our Google reviews here, and I am happy to put prospective clients in touch with past clients.
For types, all of them... Digital, content, copywriting, experiential, video, social, direct, PR, print, outdoor, you name it. If it has value and makes money, I can likely sell it for you.
For size, I work in what we call the lower to lower middle market. This is typically businesses doing $1-10M per year in revenue. There are certainly scenarios we can work with larger or smaller. We also regularly work with businesses nationwide, not only CA.
The length of time it takes to sell a business can vary widely depending on several factors, including the size and complexity of the business, the market conditions, the readiness of the seller, and the asking price in relation to the earnings. Commonly it takes about 6 months from listing close, sometimes less, sometimes 9-12 months. This also depends whether the timing includes a transition period. Our team works diligently to ensure a smooth and timely transaction process. Listing periods typically range anywhere from 6-12 months. I personally only do 6 month listing agreements. If that period were to expire before we've identified a suitable buyer, we could then extend it if desired.
Fees can vary depending on the size of the business and the perceived complexity of the sale. I only charge once a business is actually sold and you are paid too, no fees from me prior. Generally success fee percentages decrease as transaction amounts increase. Other common fees, aside from me, would be escrow, legal (if you hire an attorney), or CPA (if something such as a pre-diligence book cleanup is needed). Make sure you're also aware of your potential tax responsibility from a sale.
Yes, although I do not have a structured process, as a business coach would. In the free valuation I give feedback and steps towards value growth based on my understanding of your business, if you're not in a rush to sell. If you are seeking a more structured process, I have excellent business coaches I could refer.

I worked with Matt Cole McDonald from the team as my broker and he was great. Extremely professional, highly communicative and always guiding me in the right direction. He made the entire selling process smooth and as quick as possible. Even my biz buyer was impressed with how easy it was to communicate with Matt and how he streamlined everything. Can't recommend Matt from SD Business enough.
Matt McDonald has actually been instrumental in helping me sell two businesses in two years. He was able to help me prepare my business for sale, get several offers, and negotiate 90% cash upfront, which was absolutely incredible. He's extremely knowledgeable, diligent, and a very calming force during a stressful time. I highly recommend getting in touch with him a year or so before you want to exit your business to help prepare and understand your options. Can't wait to work with him a third time in the future!
Thank you for making my business purchase so smooth! I’ll highly recommend you in my circle and look forward to our next opportunity to work together.
Matt was my business broker when I sold a major division of my marketing firm. From the first day we spoke, he was knowledgeable, friendly and I could tell he would be a great resource to help me sell the assets. What I appreciate about Matt was that he communicated with me through the process and he thought outside of the box when considering the right buyer. He understood my business, my ideal buyer who held the same values, and the market. We ended up negotiating OVER asking and he was alongside me through the whole process. The buyer has since continued to nurture and grow the business beyond my expectations, which makes me so proud. I could NOT have done this deal without Matt and I highly recommend him to represent your business when you are prepared to sell. Even if you are unsure if it's time to sell, reach out to Matt, as he will be a great resource and advisor. Thank you, Matt!
